CODE OF CONDUCT AND COMPLIANCE WITH LAWS

If the Company terminates your Mission while you are abroad, you will be repatriated to your Country of origin. If you live in accommodation rented by the Company, you agree to vacate the accommodation within 60 days of notification of termination of the Assignment. Any termination of your employment is subject to the terms of your CIC agreement (see below).
DEPARTURE AND CHANGE OF CONTROL AGREEMENT
This letter of agreement does not constitute a contract or promise of employment for a specific period or duration. The terms and conditions of your Termination of Employment and Change of Control Agreement, dated November 6, 2018, as amended on February 21, 2019 (?? CIC Agreement ??) will remain in full force.
SEVERABILITY AND APPLICABLE LAWS
In the event that any provision of this Letter of Understanding is found to be unenforceable, you agree that a court of competent jurisdiction will have jurisdiction to reform such provision to the extent necessary to make it enforceable to the fullest extent permitted by law. The provisions of this Letter of Understanding are severable, and if any provision is found to be prohibited or unenforceable in any jurisdiction, the remaining provisions will nonetheless be binding and enforceable. The parties agree that the laws of Illinois will apply to this Letter of Agreement, regardless of its conflict of law rules. By signing this Letter of Agreement, you consent to the exclusive jurisdiction of the United States Federal District Court in Chicago, Illinois, with respect to the resolution of any dispute relating to your employment, this Letter of Agreement or to your assignment.
